Sole Proprietorship Naming Rules in Ghana
A sole proprietorship name should read like a one-owner business name. Company suffixes and wording that suggests several owners can push the filing into the wrong route.
A sole proprietorship is a business name registered by one person. ORC describes it as a one-man business where one person makes the decisions and carries the liabilities.
Because the filing is for one owner, the name should not look like a company or a firm owned by several people. Avoid LTD, Limited, LBG, PLC, Inc, Corporation, Partners, & Co, & Sons, and similar wording unless you mean a different structure.
Good sole proprietor names are simple
This is guidance, not a statutory list & Co and & Sons are not company suffixes in section 21. JRI treats them as risk signals because they can make a one-owner filing look like a multi-owner business. ORC still makes the final call.

When to switch route
- Use LLC if you want a private company with LTD at the end.
- Use partnership if two or more people will own the business together.
- Use NGO/LBG if the name and purpose point to a nonprofit, association, club, church, charity, or foundation.
- Why ORC refused the name - Fix similarity, suffix, and misleading wording issues.
- Choose another entity type - Compare all naming routes before you file.
- Register sole proprietorship - Use the sole proprietorship route if the business has one owner and the name does not claim company status.
