You can prepare a Ghana registration from abroad, but “foreign founder” is not an entity type. The first decision is whether you need a new Ghana company, a trading name owned by an existing Ghana company, or a Ghana branch of a company already incorporated overseas.
Choose the registration route before collecting documents
| Route | When it fits | Main ORC charge |
|---|---|---|
| Ghana LLC | You want a separate Ghana company with its own shareholders and directors | GH₵585 + GH₵30 certified copy + 1% capital duty |
| Subsidiary business name | An existing Ghana company needs another trading name | GH₵130 + GH₵30 certified copy |
| External company | A company incorporated outside Ghana establishes a Ghana place of business | Cedi equivalent of USD1,400 + USD30 certified copy |
Subsidiary does not always mean a new company
In the ORC business-name filing context, a subsidiary business name is a trading name owned by an existing Ghana company. A separately incorporated Ghana company owned by a foreign parent is a different structure.
Documents a foreign team should prepare
- Clear passport or Ghana Card records for the people in the filing, with names written consistently across every document.
- Ghana registered-office and contact details, including a digital address where available.
- Director, secretary, shareholder and beneficial-owner information for a Ghana company.
- For an external company: Forms 20 and 21, foreign certificate of incorporation, constitutional records where applicable, a power of attorney for the resident local manager and details of any process agent.
- English translations and notarisation or Ghana Mission endorsement for foreign documents that require them.
What cannot be solved by the ORC certificate alone
Registration does not settle every foreign-investment question. Tax setup, banking, work and residence permissions, GIPC requirements, sector licences and foreign-capital rules may apply depending on ownership and activity. Treat these as separate checks rather than assuming the certificate covers them.
The direct ORC route
A representative can download and complete the required forms, arrange notarised foreign records, submit the pack at an ORC office and follow up on corrections. For external companies, the local-manager requirement and document endorsements make that handoff more involved than an ordinary local business-name filing.
Why remote founders use JustRegisterIt
- The application can be prepared online before anyone visits an ORC counter.
- The flow separates the Ghana company, subsidiary-name and external-company requirements so the wrong form pack is less likely.
- Uploads, ownership details and local-contact records stay in one saved application that the team can review.
- USD statutory charges use the current checkout exchange-rate process, and the service fee remains visible as a separate amount.
